Barratt’s £2.5bn Takeover of Redrow Receives Approval from Regulatory Body
Housebuilder Barratt has successfully secured clearance for its £2.5 billion acquisition of Redrow after regulatory approval. The Competition and Markets Authority (CMA) had expressed concerns regarding potential competition issues arising from the merger, particularly in the Whitchurch, Shropshire area where Redrow has a plot with planning consent for 324 homes.
Despite initial reservations from the CMA, Barratt proceeded with the acquisition, choosing to bypass the conditions stipulated by the regulator. The companies have been operating independently while awaiting resolution of the competition concerns.
To address the CMA’s worries, Barratt and Redrow agreed on measures such as appointing property agents from Savills as a third party for house sales and ensuring that construction meets Redrow’s quality standards and is completed promptly. Joel Bamford, the CMA’s executive director for mergers, confirmed that the proposed measures offer a comprehensive solution to potential competition issues.
The merger is expected to be finalised within 18 months of the acquisition, with cost savings and efficiencies becoming apparent after three years. The combined entity anticipates annual cost savings of at least £90 million, offset by an initial outlay of around £73 million to achieve these savings.
As part of the integration process, there may be restructuring within the companies leading to a reduction of approximately 10% of jobs across the combined business. Barratt’s CEO, David Thomas, expressed optimism about the merger, stating that it creates an exceptional housebuilder focused on quality, service, and sustainability, with a broader range of homes for customers.
Thomas emphasised the importance of delivering value to stakeholders and leveraging the strengths of both companies to drive long-term benefits. The merger marks a significant milestone for Barratt and Redrow, paving the way for a strengthened position in the housing market.
